For individual events, the third place finisher in your state qualifier may advance to the state meet if he/she has met the standard at the state qualifying meet or in meets approved by the Sectional Coordinator. He/she must place third in the state qualifier.
For relay events, the second place finisher may advance to the state meet if they have met the above standard in an approved meet, and finished second in the state qualifier meet.
The intersectional medley relay is composed of the third place finisher in the 1000, 300, 600, and 1500/1600. If an athlete finishes third and has met the standard in those events, then the fourth place finisher will compete in the relay. Alternates for the relay may not be competing in the 1000, 300, 600, and 1500/1600 at the state meet.

WESTCHESTER/ROCKLAND/DUTCHESS/PUTNAM TRACK & FIELD COACHES ASSOCIATION - BY-LAWS

ARTICLE I

Powers

Section 1: The name of the organization shall be The Westchester, Rockland, Dutchess, Putnam Track & Field and Cross Country Coaches’ Association, also referred to as the Association. The Association shall have the power to do or procure to be done any and all acts and to take or cause to be taken any and all actions, proceedings, enterprises, movements or any other form of activity which will in any manner further the objectives of the Association as set forth in the certificate of incorporation of the Association, or enable it to carry out its intents and purposes, or any of them.

Section 2: It shall have power to appear before any Federal, State or Municipal officer, body, commission, committee or other lawful authority for any of the purposes herein expressed, and do any and all other acts of any kind or nature which may be necessary, requisite or desirable, whether as the main object or incidental thereto, for the purpose of carrying out any of the objects and purposes herein expressed.

Section 3: The foregoing clauses shall be construed as objects and powers, it being hereby expressly provided that the enumeration of specific objects or powers shall not be held to limit to restrict in any way the objects or powers of the Association, and that none of the objects or powers herein stated shall be in any ways limited or restricted by reference to or inference from any statement herein of any other object or power, but such powers shall be exercised only in such manner as may be permitted under the laws of the State of New York by corporations organized under the Membership Corporation Laws.

ARTICLE II

Membership

Section 1: Membership in this Association shall be open to any person EIGHTEEN years or more of age who is in sympathy with the objects of this Association and shall designate at the time of application for membership the division of the Association as herein provided of which he desires to be a member.
Section 2: Active membership in the Coaches’ Association is voluntary and, upon receiving written application on the form provided for this express purpose, and payment of annual dues, shall be open to:

Head Coaches, Assistant Coaches, Modified Coaches of schools in Section One and former coaches. Membership shall be active, upon application and payment of dues, in the school year as defined as July 1 until June 30.

Section 3: Any member whose dues remains unpaid three months after they become due shall not be in good standing and shall be reported by the Treasurer to the Board of Directors, which may declare such member delinquent. Thereupon there shall be mailed to such member a bill covering the unpaid dues and copy of this section. If the dues remain unpaid for a further period of one month, the delinquent shall be dropped from membership.

Section 4: Resignations from membership shall be made in writing to the Board of Directors, but shall not relieve any member from liability for dues accrued or unpaid at the time such resignation is filed.

Section 5: The Board of Directors shall have power by a majority vote of the whole number of members thereof to terminate the membership of any member of the Association for conduct on his/her part which the said Board shall regard as prejudicial to the welfare, purposes, or character of the Association, after hearing such member or giving him/her an opportunity to be heard at a meeting of the Board of Directors.

ARTICLE III

Dues
Section 1: The dues of each member, set at such rate, schedule or formula as may be from time to time, prescribed by the Board of Directors and approved by the General Membership, are payable in September of each year or at the organizational meeting of a member’s season of coaching( Fall, Winter, Spring) or at some time as designated by the Board of Directors. Any member whose dues remains unpaid three months after they become due shall not be in good standing and shall be reported by the Treasurer to the Board of Directors, which may declare such member delinquent. Thereupon there shall be mailed to such member a bill covering the unpaid dues and copy of this section. If the dues remain unpaid for a further period of one month, the delinquent shall be dropped from membership.

ARTICLE IV

Board of Directors

Section 1: The property, affairs, business and concerns of the Association shall be vested in a Board of Directors, consisting of seven (7) directors. Any member of the Association shall be eligible for membership on the Board of Directors. The members of the said Board shall, upon election, immediately enter upon the performance of their duties and shall continue in office until their successors shall be duly elected and qualified.

Section 2: At the first annual meeting there shall be an election by ballot for seven (7) directors of the Association, two of whom shall be elected for a term of one year, two for two years and three for three years. . Four Directors shall be elected by county. Representation shall be at the ratio of 1 representative for each County. In addition, three (3) at-large representatives shall be elected.
At each annual meeting a number of directors equal to the number of directors whose terms have expired shall be elected for terms of three years. At the expiration of his/her term any director may be re-elected. The term of office begins on July 1 and ends on June 30 of the term of office.

Section 3: At least one month prior to each annual meeting of the Association other than the first annual meeting, the President shall appoint a nominating committee, composed of seven (7) persons, who shall be members of the Association. Such nominating committee shall prepare and report to the Secretary at least three weeks before the annual meeting a list of nominations for membership on the Board of Directors to be voted for at the next ensuing election. At least ten (10) days before the annual meeting the Secretary shall mail or email to each member of the Association a notice of such meeting and a list of candidates so selected by the nominating committee. Notwithstanding the foregoing, written nominations for directors may be made by not less than five (5) members of the Association in good standing by forwarding in written notice of such nominations to the Secretary at least three (3)days prior to the annual meeting of the Association

Section 4: Regular meetings of the Board of Directors shall be held on (during the months) August, November, February, and June at a place and hour to be fixed by the President. Special meetings of the Board of Directors may be called by the President on three (3) days notice to each director and shall be called in like manner on the request of any two members of the Board. Four-sevenths of the Board of Directors shall constitute a quorum for the transaction of business at any meeting.

Section 5: The failure of any member of the Board of Directors to attend three (3) or more consecutive meetings shall, at the option of the Board of Directors, be construed as a resignation from the Board but before such resignation shall be deemed accepted, it shall be the duty of the Secretary to notify such member of this provision in writing by registered mail to his/her last known address.

Section 6: Whenever any vacancies shall occur on the Board of Directors by death, resignation or otherwise, the same shall be filled, without undue delay, by a majority vote by ballot of the remaining members of the Board at a special meeting which shall be called for that purpose. The person so chosen shall hold office until the end of the term of the person who is being replaced.

Section 7: The Board of Directors, except as herein specifically provided, shall have the management of the business of the Association, including the authority to employ, managerial and administrative personnel and legal counsel, and in addition to the powers and authorities especially conferred upon them by these By-laws, may exercise all such powers and do all such acts and things as may be exercised or done by the Association but subject, nevertheless, to the provisions of the Statute and of these By-laws, and to any regulations made by the Association itself, provided that no such regulation shall invalidate any prior act of the Board of Directors which would have been valid if such regulation had not been made. The Board of Directors shall submit in writing at the annual meeting of the Association a summary report of the work and the finances of the organization.

ARTICLE V

Officers

Section 1: The officers of this Association shall be a President, a Vice-President, a Secretary and a Treasurer.

Section 2: The Board of Directors, at their first regular meeting after the annual meeting of the Association, shall elect all said officers, each for terms of one (1) year. The President and Vice-President must be members of the Board of Directors. A majority of the quorum present at the Board of Directors meeting shall be necessary to constitute an election

Section 3: The President shall be the chief executive officer and head of the Association and shall preside at all meetings of the Association and of the Board of Directors; he/she shall, with the Treasurer when duly authorized by the Board of Directors, sign all written contracts; he/she shall be ex-officio member of all committees and shall make a written report at the annual meeting of the Association and shall perform all other duties incident to this office.

Section 4: The Vice-President shall perform the duties of the President in case of the absence, death or resignation of the President.

Section 5: The Secretary shall give notice of and attend all meetings of the Association and of the Board of Directors and shall be the custodian of the corporate seal, records, books, documents and communications and shall maintain an accurate record of the proceedings of the Association and perform all other duties incident to this office.

Section 6: The Treasurer shall receive and disburse the funds of the Association and shall keep all monies of the Association and at frequent intervals make a report to the Board of Directors. He/she shall deposit the funds of the Association in the name of and to the credit of the Association in such depositories as may be designated by the Board of Directors and shall draw checks upon such accounts in payment of obligations of the Association upon presentation to him/her on bills approved for payment by the Board of Directors.

ARTICLE VI

Committees

Section 1: There shall be the following standing committees to consist of as many members as may seem advisable, except as herein provided, which committees shall be appointed by the President annually, subject to the approval of the Board of Directors:

ARTICLE VII

ORDER OF BUSINESS

Section 1: The order of business shall be as follows, at all meetings of the Association and the Board of Directors.

4. Reports of committees
5. Elections

ARTICLE VII

PROHIBITION

Section 1: No officer, director, employee, or member of the Association, nor any committee, sub-committee, or part thereof, except the President, subject to such limitations as may from time to time be imposed by the Board of Directors, under a claim of authority from the Association, shall use its name or credit, or make any statement, written or oral, for publication or any other purpose to the press or otherwise, purporting to announce the policy of the Association or its contemplated acts, or in any ways committing the Association or any of its members, unless the Board of Directors shall, at a duly assembled meeting, by resolution duly passed and entered in the minutes, make such a statement touching its policy or contemplated acts, or confer authority to make thereof.

Section 2: Neither the Association nor any of its officers, directors, members, committees, sub-committees, or employees, in its name, or under claim or color of his authority, shall cause the apprehension or asset of, or lodge any criminal complaint against any person on any pretext whatsoever, where the offense charged amounts to less than a felony, or make any charge, statement or complaint, written or verbal, relating to the neglect or alleged neglect of any person, unless authorized thereto by the Board of Directors.

Section 3: Neither the Association nor any of its officers, directors, members, committees, sub-committees or employees, in its name, or under a claim of authority from it, shall cause the apprehension or arrest of, or lodge any criminal or quasi-criminal complaint against, any person on any pretext whatsoever, where the offense charged amounts to a felony.

Section 4: Neither the Association nor any of its officers, directors, members, committees, sub-committees or employees, in its name, or under a claim of its authority, shall hold any person up to contempt or scorn, or libel, or slander any person.

Section 5: No agreement, contract or obligation, involving the payment of money or the credit of the Association for more than $ 200.00, shall be made without the order of the Board of Directors.

ARTICLE IX

RULES OF ORDER

Section 1: Proceedings of the Association meetings and of the Board of Directors shall be governed by and conducted according to the latest edition of Robert’s Rules of Order.

ARTICLE X

AMENDMENTS

Section I: No amendments to these By-Laws shall be made except by a two-thirds vote of the members present at a regular or special meeting of the Association or by means of E-Mail Ballot and unless the same shall have been previously submitted to the Board of Directors and approved by a majority of the members present at a meeting thereof. All amendments and changes posted as of September, 2012.
